These Software License Terms govern the use of digital tools, software systems, and related solutions developed or provided by WiserPivot Solutions (“WiserPivot”, “we”, “our”, “us”).

 

By purchasing, accessing, or using any software product or digital tool provided by WiserPivot, you agree to these terms.

 

1. Scope of Application

 

These terms apply to:

• Proprietary digital tools developed by WiserPivot

• Subscription-based or one-time purchase software

• Custom-developed software solutions for specific clients

• Structured decision-support or financial systems delivered in digital format

Certain standalone applications or platforms may:

• Operate under separate licensing or usage terms

These will be defined within the respective product.

2. License Grant

 

Unless otherwise agreed in writing:

WiserPivot grants the client a limited, non-exclusive, non-transferable license to use the delivered software for internal business or personal use.

 

This license does not transfer ownership.

 

3. Ownership

 

a) Proprietary Digital Tools

 

All proprietary frameworks, internal logic, reusable modules, methodologies, templates, and structured systems remain the intellectual property of WiserPivot.

 

Clients may not:

• Copy

• Modify

• Reverse engineer

• Resell

• Redistribute

• Share access publicly

without explicit written permission.

b) Custom Client-Specific Software

​

For custom-built solutions:

• Clients receive usage rights to the delivered solution as defined in the engagement.

• Core frameworks, reusable code structures, development methodologies, and architectural logic remain the property of WiserPivot unless explicitly transferred in writing.

 

Full intellectual property transfer, if agreed, must be documented separately and may involve additional fees.

 

4. Restrictions

 

Clients shall not:

• Resell or sublicense the software

• Provide public access without authorization

• Replicate core logic for commercial use

• Remove proprietary notices

 

Violation of these terms may result in immediate termination of license and legal action where applicable.

 

5. Third-Party Components

 

Some solutions may incorporate third-party services, APIs, hosting platforms, or integrations.

 

Such components:

• Are governed by respective third-party terms

• May require separate subscriptions

• May change independently of WiserPivot

 

WiserPivot is not responsible for third-party service disruptions or policy changes.

 

6. Maintenance & Updates

 

Unless covered under a separate maintenance agreement:

• Ongoing updates are not guaranteed.

• Feature enhancements may be subject to additional charges.

• Platform-level changes from third parties may require paid adjustments.

 

7. No Guarantee of Results

 

Software and digital tools are designed to assist decision-making and operational clarity.

 

WiserPivot does not guarantee:

• Financial outcomes

• Business performance

• Funding success

• Operational efficiency improvements

 

Clients remain responsible for how the software is used.

 

8. Limitation of Liability

 

WiserPivot shall not be liable for:

• Business losses

• Data loss caused by client misuse

• Indirect or consequential damages

• Downtime caused by third-party infrastructure

 

Total liability shall not exceed the amount paid for the specific software solution.

 

9. Termination

 

WiserPivot reserves the right to terminate access in cases of:

• License violation

• Unauthorized redistribution

• Payment default

 

Termination does not entitle the client to refund.

 

10. Governing Law

 

These Software License Terms shall be governed by the laws of India.

 

Any disputes shall be subject to the jurisdiction of courts in Pimpri-Chinchwad and Pune, Maharashtra.

 

11. Acceptance

 

By accessing, purchasing, or using any digital tool or software solution provided by WiserPivot, you acknowledge that you have read and agreed to these terms.
